INSTABIZ FREEZER MEALS

TERMS & CONDITIONS & LICENSE AGREEMENT

Effective Date: 1/1/2026

This Terms & Conditions and License Agreement (“Agreement”) is entered into by and between InstaBiz LLC, a Utah limited liability company (“InstaBiz,” “we,” “us,” or “our”), and the purchaser or participant (“Licensee,” “you,” or “your”).

By purchasing the InstaBiz Freezer Meals course or enrolling through a Buddy Pass, you acknowledge that you have read, understand, and agree to be bound by this Agreement.

1. PURPOSE & NATURE OF THE PROGRAM

InstaBiz Freezer Meals is a microfranchise-style licensing program that provides educational materials, recipes, tools, and optional ongoing support to help independent operators build and operate their own local freezer-meal businesses.

This Agreement grants you a limited license to use InstaBiz Freezer Meals intellectual property and systems. It does not create a partnership, joint venture, employment relationship, or agency relationship.

You operate independently and are solely responsible for your business decisions, compliance, and results.

2. NOT A FRANCHISE; INDEPENDENT OPERATOR STATUS

You acknowledge and agree that:

  • You are an independent business owner
  • InstaBiz does not control your day-to-day operations
  • InstaBiz does not set your pricing, hours, suppliers, or staffing
  • This program is not an FTC-regulated franchise

Nothing in this Agreement shall be interpreted as creating a franchise relationship under federal or state law.

3. LICENSE GRANT & SCOPE OF USE

Subject to this Agreement, InstaBiz grants you a non-exclusive, non-transferable, revocable license to use the following (“Licensed Materials”):

  • Course curriculum and training materials
  • All provided recipes and menu plans
  • Recipe workbooks and templates
  • Marketing templates and food photography
  • InstaBiz Freezer Meals branding and logos
  • Access to membership tools (if enrolled)

Permitted Use

You may use the Licensed Materials only to operate your own InstaBiz Freezer Meals business.

Prohibited Use

You may not:

  • Sell, sublicense, share, or distribute Licensed Materials
  • Create your own course, coaching program, or training using our content
  • Claim InstaBiz recipes as your own original creations
  • Allow any individual to access your account, tools, or materials
  • Copy or recreate InstaBiz systems for competing programs

4. TERRITORY & MARKET SATURATION

Licenses are non-exclusive.

We may consider local saturation and existing operators when approving new licenses, but no territory is guaranteed. InstaBiz reserves the right to approve additional operators in any geographic area.

5. BRAND USAGE & REPRESENTATION

You may:

  • Use the InstaBiz Freezer Meals name and logo
  • Identify your business as “InstaBiz Freezer Meals”
  • Use provided food photos and templates for marketing

You may not:

  • Use InstaBiz branding outside the scope of this program
  • Use InstaBiz founders’ or creators’ personal likenesses, faces, or identities
  • Modify logos or branding outside provided guidelines

Brand guidelines may be updated periodically and must be followed.

6. COURSE ACCESS & MEMBERSHIP STRUCTURE

Course (One-Time Purchase)

Includes:

  • Full business course
  • All current recipes
  • Menu plans and recipe workbook
  • Welcome materials
  • Lifetime access to course content

Membership (Optional; Required for Tools)

  • First 90 days free
  • $50/month thereafter

Membership includes:

  • Ordering website
  • Grocery List Creator
  • Seasonal menu updates
  • Monthly marketing campaigns
  • Zoom calls & onboarding support
  • Community access (e.g., Facebook group)

Program Tools & Community Availability

InstaBiz reserves the right, at its discretion, to modify, replace, discontinue, or sunset any tools, software features, platforms, or community groups (including but not limited to websites, applications, communication platforms, or group forums), provided that reasonable notice is given when practicable.

Such changes shall not constitute a breach of this Agreement, provided that Licensee retains access to the core course materials and recipes included with the original course purchase.

7. CANCELLATION, ACCESS, AND BRAND LICENSE TERMINATION

If Licensee cancels or does not maintain an active membership, the following terms apply:

Licensee Retains:

  • Lifetime access to the InstaBiz Freezer Meals course
  • All 96 recipes
  • Recipe workbooks and menu plans
  • Educational content not dependent on InstaBiz branding

Licensee Loses Access To:

  • Ordering website
  • Grocery List Creator
  • Marketing campaigns
  • Seasonal menu updates
  • Live calls, onboarding, and Q&A sessions
  • Community groups and forums
  • Ongoing support services

Brand & Marketing License Termination

Upon cancellation or expiration of membership, Licensee’s license to use InstaBiz Freezer Meals branding immediately terminates. This includes, but is not limited to:

  • The InstaBiz Freezer Meals name and logo
  • Identification as “InstaBiz Freezer Meals – [City]”
  • Any templates, graphics, documents, or marketing materials that display the InstaBiz name or logo

Licensee may not continue to represent their business as InstaBiz Freezer Meals or use InstaBiz-branded materials after membership ends, even if copies of such materials remain accessible within the course or resource library.

Use of unbranded food photos provided within the course or media library is permitted.

8. REFUND POLICY

You may request a refund within 14 days of purchase only if none of the following have occurred:

  • Downloading recipes or workbooks
  • Accessing templates or tools
  • Booking or attending onboarding or support calls
  • Initiation of custom website setup

Once any of the above occurs, the purchase becomes non-refundable.

Buddy Pass enrollments are non-refundable.

9. BUDDY PASS TERMS

Each full price course purchase includes one (1) Buddy Pass, subject to the following:

  • One-time use only
  • Must be redeemed within 30 days
  • Buddy enrolls at $0
  • Each person receives separate logins
  • Each participant must maintain their own membership after the free 90 days
  • Once enrolled, Buddy Pass may not be sold, transferred, or exchanged

Misuse of the Buddy Pass may result in revocation of access.

10. LOGIN SHARING & MISUSE (STRICT)

Login sharing is strictly prohibited.

You may not:

  • Share logins with anyone
  • Allow non-authorized users to access tools, websites, or content
  • Share curated websites or systems with others
  • Circumvent membership requirements

Violation may result in immediate termination without refund.

11. COMPLIANCE & FOOD SAFETY

You are solely responsible for:

  • Permits, licenses, and approvals
  • Food safety compliance
  • Labeling and allergen disclosures
  • Sales tax collection and remittance
  • Transportation and storage standards
  • Insurance coverage

InstaBiz strongly recommends consulting a local insurance agent regarding general and product liability coverage. Your purchase does not provide legal or insurance protection.

12. NO EARNINGS GUARANTEES

We make no guarantees regarding income, profits, or results.

Any examples or testimonials are illustrative only and not promises of performance.

13. CONFIDENTIALITY & INTELLECTUAL PROPERTY

All Licensed Materials remain the exclusive property of InstaBiz LLC.

You agree to keep course materials, systems, and processes confidential and not disclose them to third parties.

These obligations survive termination.

14. TERMINATION

We may suspend or terminate access immediately for:

  • Non-payment
  • IP misuse
  • Login sharing
  • Brand misuse
  • Illegal or unsafe practices

Upon termination, all brand usage must cease immediately.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • InstaBiz shall not be liable for indirect, incidental, or consequential damages
  • Total liability is limited to the amount paid by you in the prior 12 months

16. DISPUTE RESOLUTION

All disputes shall be resolved through binding arbitration in Utah.

You waive the right to:

  • Jury trial
  • Class or collective actions

Each party bears its own legal costs unless otherwise required by law.

17. GOVERNING LAW

This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-law principles.

18. MODIFICATIONS

We may update these Terms with reasonable notice. Continued use after updates constitutes acceptance.

Updates may include changes to course delivery methods, membership tools, community platforms, or support structures, provided the core licensed course content remains available.

19. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or representations.
